Best Virtual Data Room Software in 2026

The short answer

  1. #1 Firmex: Purpose-built data room, project or subscription. Best for: Mid-size deals and repeat dealmakers.
  2. #2 Ansarada: Deal-preparation room with AI sorting and redaction. Best for: Sellers preparing a first sale.
  3. #3 iDeals: General-purpose room with stated entry price. Best for: Cross-border deals and fundraising.

Visibility in this ranking can be paid for. Payment moves a vendor's position within the shortlist; it never adds a vendor, and it never changes a word of the review. The largest vendors in virtual data room software cannot hold places 1 to 3. Places 1 to 3 go to challengers, vendors outside the best-known brands in a category, wherever the category has them; the established names follow from place 4 in their ranked order. How it works: placement disclosure · editorial process.

The 13 tools, reviewed

#1 Firmex

Purpose-built data room, project or subscription · Canada · firmex.com

M&A Subscription 24/7 support

Firmex has run data rooms since 2006 and says its clients open more than 20,000 new rooms each year. It does one job and offers two ways to pay for it: a single-project room with fixed access time, or a subscription with unlimited projects and a named customer success manager.

  • Pricing: Quote only. Quote-based; pay a one-time fee per project or an annual subscription sized by data volume. Free plan: none.
  • Best for: Mid-size deals and repeat dealmakers
  • Strengths: Document watermarks; Restricted viewing; User and group permissions.

Where it falls short

The pricing page publishes no figures, only the shape of the two plans, so a budget comparison needs a quote call. Single-project access ends at a fixed time, which matters if a process overruns.

Wrong for

Buyers who want a published price before talking to anyone, or teams whose main interest is AI-driven redaction and indexing, should compare SecureDocs or Ansarada first.

#2 Ansarada

Deal-preparation room with AI sorting and redaction · Australia · ansarada.com

M&A AI redaction Prepare free

Ansarada separates preparation from execution. A room is free to create and fill until it goes live, which its terms define as inviting guests or making the project visible to outsiders, or until 90 days pass.

  • Pricing: Usage-based. Online quote builder; the room is free to set up and prepare, and payment starts when it goes live or after 90 days. Free plan: free trial.
  • Best for: Sellers preparing a first sale
  • Strengths: Smart Upload sorting; AI-Redact; Data gauge.

Where it falls short

Plans can only be upgraded or downgraded at the end of the contracted term, and extra data is billed at the peak of the billing period, so clearing files afterwards does not cancel an overage.

Wrong for

Companies that want a month-by-month plan they can resize mid-contract, or buyers who need a published list price before opening any form, will find the terms stiff.

#3 iDeals

General-purpose room with stated entry price · Switzerland · idealsvdr.com

Fundraising SOC 2 / ISO 27001 AI

iDeals publishes more than most rivals: a seven-day trial with unlimited use, SOC 1/2, ISO 27001 and GDPR compliance on the sign-up page, and a stated starting figure for its Pro plan of $2,700 per year.

  • Pricing: Per project or annual. Pro plans start at $2,700 per year; Business and larger scopes are quoted on project requirements. Free plan: free trial.
  • Best for: Cross-border deals and fundraising
  • Strengths: Q&A; Electronic signature; External file sharing.

Where it falls short

Only the Pro entry price is stated; the Business plan and the larger scopes need a quote. The sign-up flow also leans on callbacks and a regional manager, which is slower than a self-service checkout.

Wrong for

A buyer who needs a monthly plan with no commitment, or one who wants a fully published price grid across all tiers, should look at SecureDocs or CapLinked.

#4 Datasite

M&A platform with data room, intelligence and AI · United States · datasite.com

M&A Enterprise AI agents

Datasite describes itself as the infrastructure for M&A and says its customers ran 55,000 or more M&A deals a year, including four of the top five in 2025. The product covers a sell-side room, a buy-side room, deal staging, archive, board management and a market-intelligence module, with AI agents and a connector for AI assistants.

  • Pricing: Quote only. No prices on the pages we could read; buyers are sent to a demo. Free plan: none.
  • Best for: Large sell-side and buy-side deals
  • Strengths: Sell-side data room; Buy-side data room; Deal archive.

Where it falls short

Pricing is hidden behind a demo request, and the product has grown into intelligence, board and pipeline tools that a company selling one subsidiary will never open.

Wrong for

Start-ups, small advisers and anyone with a single modest transaction should not begin here, since the platform is built around volume.

#6 Drooms

German data room with European hosting · Germany · drooms.com

Germany EU hosting Real estate

Drooms is a Frankfurt company that says it runs on georedundant servers in Europe with 99.9% uptime, and it lists ISO 27001, ISO 27018, GDPR compliance and a TÜV certificate. The product is split into Drooms Hub and Drooms Intelligence. Hub handles the room, with Q&A and approval flows, and a certified archive.

  • Pricing: Quote only. No prices on the pages we read; a pricing page and a start-for-free option exist. Free plan: free trial.
  • Best for: European real estate and M&A deals
  • Strengths: Redaction; Auto naming; Auto allocation.

Where it falls short

The public pages show no prices, and the English site returns less detail on plans than the leading rivals.

Wrong for

A seller who needs published prices up front, or one outside Europe with no hosting requirement and no use for German-language support, may be better served by SecureDocs or Firmex.

#7 Imprima

AI-assisted data room from Amsterdam · Netherlands · imprima.com

AI due diligence Europe White label

Imprima's site is organised around AI modules for due diligence: Q&A that proposes answers and points to supporting paragraphs, summaries of legal documents, review of clauses, indexing, multilingual redaction and translation. The room also offers an API, a SharePoint link, single sign-on and a white-label option for resellers.

  • Pricing: Quote only. No prices on the pages we read; contact sales for a quote. Free plan: none.
  • Best for: Legal and real estate due diligence
  • Strengths: Smart Q&A; Smart Summaries; Smart Review.

Where it falls short

No pricing is published, and the AI modules matter only if your deal has enough documents and languages to repay them.

Wrong for

A company with a small, English-only document set, or a buyer who wants to compare prices without a sales call, should look at SecureDocs or CapLinked.

#8 SecureDocs

Flat-fee data room with unlimited users · United States · securedocs.com

Flat fee SOC 2 Small deals

SecureDocs states its prices: $250 a month billed annually, or $400 a month on a three-month plan billed quarterly, both with unlimited users, unlimited documents and 24/7 support. It states a successful SOC 2 Type 2 audit and hosts on AWS data centers.

  • Pricing: Flat monthly. Flat fee from $250 per month on a 12-month plan, $400 per month on a 3-month plan; unlimited users and documents. Free plan: free trial.
  • Best for: Small deals on a fixed budget
  • Strengths: Unlimited users; Unlimited documents; Permission-based roles.

Where it falls short

The public pages do not describe AI redaction, bidder analytics or an archive product, and the vendor is part of Onit, Inc., a wider legal software company, so the data room is one product among several.

Wrong for

Auctions with many bidder teams and heavy redaction needs, or buyers who need a stated EU hosting guarantee for personal data, should compare Ansarada or Drooms before committing.

Visit SecureDocs →

#9 CapLinked

Mid-priced room with rights management · United States · caplinked.com

Fundraising DRM SOC 2

CapLinked prices two plans in public: a $399-a-month tier with a 14-day free trial and no long-term contract, and an Enterprise tier from $500 a month or $5,000 a year.

  • Pricing: Flat monthly. A $399 per month plan with a 14-day free trial; Enterprise starts at $500 per month or $5,000 per year. Free plan: free trial.
  • Best for: Fundraising and small M&A
  • Strengths: Dynamic watermarks; FileProtect DRM; Q&A.

Where it falls short

The pages we read do not describe AI redaction or a data-volume tier, and the starting plan caps what a larger auction needs.

Wrong for

Teams that need AI redaction at scale, a data-volume plan with an archive product, or EU-only hosting guarantees should look at iDeals, Drooms or Imprima instead.

#10 Onehub

Workspace file sharing with a data-room tier · United States · onehub.com

Workspaces Per user Data room tier

Onehub sells workspaces, not auction rooms. Its Standard and Advanced plans are per-user file sharing at $15 and $25 a month, and the Premium edition adds the data-room features: document watermarks, automatic indexing, non-disclosure agreements, stealth mode that hides users from each other, dedicated support staff and customized training. Premium is priced at $375 a month, or $300 a month billed annually.

  • Pricing: Per user / month. Standard $15 and Advanced $25 per user per month; Premium data-room edition $375 per month, $300 billed annually. Free plan: free trial.
  • Best for: Firms that share files and run deals
  • Strengths: Workspaces; Custom domain and white label; Two-factor enforcement.

Where it falls short

The product is a file-sharing tool first, so it lacks the transaction process of the specialist rooms: bidder analytics, structured sell-side preparation or AI sorting are not described on the pages we read.

Wrong for

A banker running a competitive auction, or a seller expecting dozens of bidder teams and a formal Q&A process, should use a specialist room instead of a workspace tool.

#11 Egnyte

Content governance platform with external sharing · United States · egnyte.com

Governance Per user Financial services

Egnyte's pricing page lists four tiers at $22, $39 and $48 per user a month, billed annually, plus an Ultimate tier on quote. Dynamic watermarking and e-signature arrive at the Elite tier. The company's industry pages list buy-side and sell-side use cases within financial services and controlled external file sharing as a use case.

  • Pricing: Per user / month. Business $22 per user per month, Enterprise Lite $39, Elite $48, all billed annually; Ultimate on quote. Free plan: free trial.
  • Best for: Existing Egnyte firms with occasional deals
  • Strengths: Dynamic watermarking; E-signature; PDF markup.

Where it falls short

We found no dedicated data-room product page or process tools such as bidder Q&A on the pages we read, so a deal team must assemble the workflow from sharing features and folder permissions.

Wrong for

A seller who needs a ready-made auction process with a Q&A workflow and bidder reports should pick a specialist room, and a firm without existing Egnyte contracts has no reason to start here.

Visit Egnyte →

#12 ShareFile

Client portal and file sharing with a data-room offering · United States · sharefile.com

Client portal E-signature Progress

ShareFile belongs to the Progress Software portfolio and is sold mainly to accounting, finance, insurance, healthcare, legal and real estate firms that swap documents with clients. Its pricing page shows Advanced at $18.15 and Premium at $28.59 per user per month, with a three-user minimum and lower rates on annual billing.

  • Pricing: Per user / month. Advanced $18.15 and Premium $28.59 per user per month (lower when billed annually); minimum three users; the data-room plan is not priced. Free plan: free trial.
  • Best for: Accounting and finance firms
  • Strengths: Client portal; Integrated e-signature; Workflow automation.

Where it falls short

The dedicated data-room page returned an error when we fetched it, and the data-room plan carries no public price, so we cannot describe its features or limits.

Wrong for

A company seeking a specialist deal room for its first sale should compare Firmex or Ansarada rather than a client-portal product, and a firm with no recurring client exchange gains little.

#13 Box

Content cloud with governance add-ons · United States · box.com

Content cloud Governance Free plan

Box offers a permanent free Individual plan with 10 GB of storage, and paid plans per user per month from Business Starter upward, with a three-user minimum. Governance with retention policies and legal holds is an add-on, Box Shield adds classification-based controls, and Enterprise Advanced includes an archive product.

  • Pricing: Per user / month. Free Individual plan; Business Starter from $5 per user per month; higher plans per user; Enterprise Advanced on quote. Free plan: free plan.
  • Best for: Firms already standardised on Box
  • Strengths: 10 GB free plan; Box Sign; Version history.

Where it falls short

Retention, Shield and compliance archive are separate add-ons without listed prices, and the pricing page does not show data-room features such as bidder Q&A or per-bidder reports.

Wrong for

A team needing an auction process with Q&A and bidder reports should use a specialist room.

What this category is

Virtual data room software (VDR) is a secured online repository for sharing confidential documents with outside parties during a transaction such as a sale, financing, merger or audit. It adds permission by folder and user, watermarks, view-only modes, activity logs, structured question-and-answer workflows between buyer and seller, and bulk upload with automatic indexing.

How we ranked these

Five tests, applied to every product. The order is not the tests alone: places 1 to 3 go to challengers, vendors outside the best-known brands in a category, wherever the category has them, and the established names follow from place 4 in their ranked order.

  • Setup: Indexing the room before the bidders arrive.
  • The real price: Per project, flat fee or per user.
  • Getting your data out: The archive after the deal closes.
  • Independence from the vendor: Ownership, hosting region and exit.
  • Who it's for: Sell-side advisers, start-ups and regulated archives.

What the data says about this market

Of the thirteen publishers ranked, eight are headquartered in the United States, and one each in Canada, Australia, Switzerland, Germany and the Netherlands. The split matches the product shapes. The two largest names, Datasite and Intralinks, are American vendors aimed at investment banking and large transactions; Datasite sends buyers to a demo and Intralinks sells on quote. Drooms leads with European hosting, and Imprima runs offices in Amsterdam, London, Frankfurt, Paris and New York. Of the thirteen, only Box offers a permanent free plan, though Ansarada lets a room stay free until it goes live or reaches 90 days.

More in our report The Global Shift to ICT Services, on market data and in all industry reports.

How to choose

  1. Write down the process before choosing a room. Start with the transaction, not the tool.
  2. Run a mock room with real files and a colleague as bidder. Ask two or three vendors for a trial and load a few hundred real documents, including scans and large spreadsheets.
  3. Settle price caps and archive terms in writing. Before signing, get the billing basis in writing: what counts as data, who counts as a user, what happens if the deal runs past the planned end date, and what an overage costs.

Questions and answers

What is the best virtual data room software in 2026?

Firmex ranks first of 13, best for mid-size deals and repeat dealmakers. Ansarada is second (sellers preparing a first sale) and iDeals third (cross-border deals and fundraising). Places 1 to 3 go to challengers, vendors outside the best-known brands, wherever the category has them.

How much does a virtual data room cost?

It depends on the billing shape. SecureDocs publishes a flat $250 a month on a 12-month plan and $400 on a 3-month plan, and CapLinked lists $399 a month. iDeals states Pro plans from $2,700 a year.

Can I use Dropbox, Google Drive or Box instead of a data room?

For a small, friendly exchange, yes. For a competitive process, usually no. General platforms lack the structured Q&A between buyer and seller, the per-bidder activity report and the preparation workflow that a data room provides.

Is there a free virtual data room?

Not for a real transaction. Box has a free Individual plan with 10 GB, but it is a personal storage plan, not a deal room.

What happens to the room after the deal closes?

Plan this before you sign. Counsel may need the folder structure and access logs for years.

How should I price a data room for a three-month sale?

Build one scenario and send it to every vendor: number of documents and total size, number of bidder teams and users per team, planned length, and what happens if the deal slips by a month.

Do buyers need accounts, and do they pay?

Buyers are invited as guest users and do not pay in the specialist rooms; the seller carries the cost. Ansarada separates internal sell-side users from external buy-side users when teams are set up.

Where is my data stored, and does that matter for GDPR?

It matters when personal data of EU residents sits in the room, which is usual for employee and customer files in a sale. Drooms states georedundant servers in Europe and lists ISO 27001, ISO 27018 and GDPR compliance.

Is AI redaction worth paying for in a data room?

If the room holds hundreds of contracts and personnel files, yes, because manual redaction before a sale is slow and error-prone. Ansarada, Imprima, iDeals, Drooms and Intralinks describe AI redaction or similar tooling on their sites.

Can a start-up use a data room for fundraising?

Yes, and a cheaper product usually does the job. Investors need a clean folder structure, view tracking and a way to ask questions, not an auction process.

When should I choose Datasite or Intralinks?

When the deal is large enough that bankers, not you, define the process, or when the buyer or lender names the platform.
